Terms of Service
Last updated October 2, 2026
These Terms of Service constitute a legal agreement between the institution and Pounding Water (operating as "TutorVault") and govern use of the TutorVault platform. By using TutorVault, the institution and its authorized users agree to be bound by these terms and by the institutional agreement, which governs where it conflicts with this summary.
1. Service Description
TutorVault is an institutional AI-powered learning platform that provides:
- Transformation of an institution's authorized materials into structured courses
- AI-generated explanations, examples, quizzes, and revision resources
- Document ingestion and processing (text extraction and indexing)
- Student progress tracking, AI scoring, and teacher summaries
- An institution-private workspace with access control
TutorVault is the technology and learning-content layer. It does not award degrees, issue academic credits, set curriculum, replace teachers, or claim affiliation with the institution unless an actual agreement says so.
2. Institutional Accounts
TutorVault is provided to institutions. A designated administrator manages the account. The institution controls material uploads, student rostering (via PIN codes), and staff access (via email invitation). The institution is responsible for authorizing and de-authorizing its users and for removing access when a user leaves.
3. Materials & Authorization
- Authority to provide materials. The institution confirms it has the authority or permissions needed to provide its materials to TutorVault, to allow TutorVault to process them, and to provide the resulting content to its students.
- University / regulator approval. Where approval from an affiliated university, board, or other authority is required to use third-party learning technology or the materials, the institution obtains that approval through its normal internal process before deployment. TutorVault does not negotiate that approval on the institution's behalf.
- Only authorized materials. The institution provides only materials it is authorized to provide.
4. Ownership & Content Use
- Institution materials. The institution retains ownership of the materials it provides, unless the parties agree otherwise. Making content institution-private does not transfer ownership of the underlying material to TutorVault.
- Permission to process. The institution grants TutorVault permission to process and use those materials for the agreed purpose — producing and delivering the learning content for the institution's authorized users.
- Generated content. Ownership and permitted use of AI-generated outputs are governed by the institutional agreement.
- Non-publication & access control. Content built from an institution's materials is institution-private: it is not published to the public TutorVault catalogue and is accessible only to that institution's authorized users. TutorVault provides access control and non-publication; it does not claim the content never leaves its systems, since storing and processing the content is necessary to provide the service.
5. Acceptable Use
Users agree NOT to use TutorVault to:
- Circumvent academic integrity policies
- Provide materials the institution is not authorized to provide
- Access another institution's data or another user's account
- Reverse-engineer or attempt to extract the underlying models or algorithms
- Use the platform for any unlawful purpose
- Transmit malware or disrupt the platform infrastructure
TutorVault is designed as a learning aid, guiding understanding rather than completing assessments on a student's behalf.
6. Billing & Payment
- TutorVault is licensed to institutions as a flat annual subscription for a defined number of students, together with a one-time setup fee at the start of the engagement. There are no per-token usage fees.
- Institutions may start with a semester pilot before committing to an annual license.
- Fees, billing cycle, and student-count bands are set out in the institutional agreement.
- Pricing changes are communicated with reasonable written notice before the next term.
7. Service Availability
- We work to keep the platform available but do not guarantee uninterrupted service.
- Scheduled maintenance will be communicated in advance where reasonably possible.
- AI response quality depends on the quality and completeness of the provided materials. We do not guarantee the factual accuracy of AI-generated content.
8. Termination
- Either party may terminate the subscription as set out in the institutional agreement.
- We may suspend or terminate accounts that violate these Terms.
- On termination, institution materials and records are deleted or returned as set out in the institutional agreement.
9. Limitation of Liability
To the maximum extent permitted by law, Pounding Water and its directors, employees, and affiliates shall not be liable for:
- Any indirect, incidental, special, or consequential damages
- Loss of academic performance, grades, or educational outcomes
- Inaccuracies in AI-generated content
- Service interruptions or data loss beyond our reasonable control
TutorVault is provided on an "AS-IS" basis. Our total liability is limited as set out in the institutional agreement. (Liability caps, indemnities, and warranty disclaimers require lawyer sign-off.)
10. Disclaimer
TutorVault is an educational supplement, not a replacement for qualified teachers or professional instruction. AI-generated responses may contain errors; institutions and students should verify critical information through authoritative sources. The institution remains the academic authority for its program.
11. Governing Law
These Terms are governed by the laws of Nepal, unless the institutional agreement specifies otherwise. Disputes are resolved as set out in that agreement. (Governing law and dispute resolution require lawyer sign-off.)
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to institution administrators before taking effect. Continued use after an update constitutes acceptance.
